Legally binding agreement between User and Halo App

IMPORTANT NOTICE: REAL-WORLD MEETUPS & SAFETY

Halo is a technology platform facilitating spontaneous connections among travelers. Halo DOES NOT organize meetups, DOES NOT conduct background checks or identity verification, and disclaims all liability for real-world interactions. By joining meetups, you do so entirely at your own risk and agree to exercise personal caution.

1Acceptance of Terms & Eligibility (18+)

These Terms and Conditions of Service ("Terms") constitute a legally binding agreement between you ("User") and Halo App ("Halo", "we", "us"). By creating an account, logging in via Google Sign-In, or using any feature of the application, you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

Strict Minimum Age Requirement (18+ Years Old):

Use of Halo is strictly restricted to adults who are at least 18 years of age (or the legal age of majority in your jurisdiction). Access by minors under 18 is strictly prohibited. Halo reserves the right to terminate any account identified as belonging to a minor immediately.

2Platform Nature: Neutral Technology Intermediary

Halo operates solely as a software infrastructure provider facilitating peer-to-peer discovery and coordination. Halo is NOT a travel agency, tour operator, tour guide, event organizer, or security service. Events displayed on the map are created, managed, and attended entirely autonomously and independently by individual users without direction, vetting, supervision, or control from Halo.

3Real-World Meetups & Voluntary Assumption of Risk

Meeting unfamiliar individuals in real-world settings carries inherent risks to personal safety and property. By using Halo and joining any physical meetup, you expressly and voluntarily assume full and exclusive responsibility for all associated risks (Assumption of Risk).

Personal Safety Guidelines & Best Practices:

  • Always meet in well-lit, populated public places (restaurants, public squares, museums).
  • Arrange and fund your own independent transportation to and from the venue.
  • Inform a trusted friend or family member of your whereabouts and meetup details.
  • Never transfer money or share personal financial credentials with other members.
  • Trust your instincts: if you feel uncomfortable or unsafe at any point, leave immediately.

4No Criminal Background Checks or Identity Investigation

Halo DOES NOT conduct criminal background checks, law enforcement database screenings, or private investigative verification of users. While Halo utilizes secure Google OAuth authentication and the Trust Gravity (MMR) reputation engine, we provide no express or implied warranty regarding any user's real identity, background, criminal history, or behavior.

5Limitation of Liability & Release of Claims

To the fullest extent permitted under applicable law, Halo, its founders, developers, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or related to:

  • The conduct, acts, criminal offenses, negligence, or omissions of any user online or offline.
  • Personal bodily injury, death, property damage, emotional distress, robbery, or theft.
  • Inter-user disputes or inaccuracies in event details posted by hosts.
  • Technical downtime, GPS mapping inaccuracies, or missed notifications.

In any event, to the maximum extent permitted by law, Halo's aggregate aggregate liability for all claims under these terms shall not exceed €50.00 (fifty euros).

6Indemnification & Hold Harmless Clause

You agree to defend, indemnify, and hold harmless Halo App, its officers, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your breach of these Terms; (ii) your unlawful or negligent conduct during any meetup; or (iii) any user content or external links submitted by you.

7Community Code of Conduct & Zero-Tolerance Policy

Community safety is our core value. The following conduct is strictly prohibited:

• Harassment & Violence: Bullying, stalking, threats, hate speech, gender or racial discrimination, unwanted sexual advances, or physical violence.

• Illegal Activities: Using the app for prostitution, illegal substance trade, scams, financial fraud, or unlawful acts.

• Commercial Solicitation & Spam: Unsolicited marketing, multi-level marketing, sales pitches, or promotional spam.

• Sybil Attacks & Technical Tampering: Creating fake accounts to manipulate MMR scores (vote farming), automated data scraping, GPS spoofing, or reverse engineering.

8Event Creation, Host Rights & Content Moderation

• Host Discretion: The event creator (Host) retains absolute discretion to accept or decline any join request and to silently remove approved members at any time prior to event expiration.

• Mandatory Introduction Message: Join requests strictly require a brief introduction message to allow hosts to review applicant context.

• Destination Link Screening: All optional destination links undergo automated security screening via Google Web Risk API. Unsafe URLs are wiped instantly and trigger security flags on the creator's account.

9Trust Engine, MMR Rating & Sanctions (Shadow Ban)

By participating in events, you agree to be rated confidentially by peers upon event conclusion. You acknowledge and agree that:

  • Chronic no-shows (ghosting) or misconduct flags cause severe reductions in your hidden Trust Score (MMR).
  • If your score drops below the safety threshold, Halo automatically imposes a Shadow Ban (events become invisible to other users and join requests are ignored) without prior warning.
  • Application of algorithmic trust sanctions or account suspension carries no right to indemnity or compensation.

10Intellectual Property & Content License

All trademarks, logos, UI designs, codebases, and assets in Halo are the exclusive property of Halo App. By uploading user content (display name, profile picture, intro text), you grant Halo a worldwide, royalty-free, non-exclusive license solely to process and display such content to operate the service.

11Suspension, Termination & Account Deletion

You may terminate your relationship with Halo and delete your account at any time via in-app settings. Halo reserves the right to suspend or terminate your account immediately if you breach these Terms, violate applicable laws, or engage in conduct threatening community safety.

12Governing Law, Jurisdiction & Severability

These Terms are governed by the laws of Italy and European Union regulations. For EU consumer users, mandatory consumer jurisdiction rules apply. For any disputes not subject to mandatory consumer law, the exclusive venue shall be the Court of Milan, Italy. If any provision of these Terms is deemed invalid, the remaining provisions shall remain in full force.
